TERMS and CONDITIONS

Scope
These general terms and conditions apply when you as a customer purchase services or products from Forbicon AB, unless otherwise expressly agreed in writing.
If anything seems unclear, please contact us so we can clarify before ordering.
1. Definitions and Agreement Documents

- We, us, our: Forbicon AB
- Customer: The legal person who orders a product or service.
- Products: Trays, Boards, Pictures and similar that we deliver.
- Third-party service: Transportation

2. Order, Delivery, Acceptance and Changes
2.1 Order
Orders are made through accepted quotes and order confirmation.
2.2 Delivery and Acceptance
Delivery is considered to have occurred when a delivery is marked as complete. Unless otherwise agreed, the customer shall submit written comments on errors or deviations within 10 days. If the customer does not respond within this time, the delivery is considered accepted.
2.3 What Constitutes a Defect
A defect means that the delivery significantly deviates from the agreed specification. Minor deviations that do not affect function or agreed purpose normally do not constitute defects.
3. Prices, Invoicing and Payment
3.1 Prices
Prices are only stated by written quotes and order confirmations. Unless otherwise stated, prices are exclusive of VAT.
3.2 Payment Terms
Payment terms are 10 days unless otherwise agreed.
3.3 Late Payment
In case of late payment, we may charge a reminder fee through a supplementary agreement.
3.4 Right to Pause or Suspend Service
In case of non-payment we have the right to pause any ongoing order until the problem is resolved. This may affect schedules and planning.
3.5 Price Adjustments
We may adjust prices for:
Index and cost changes; Changed taxes or fees; Significantly changed scope. Price adjustments are communicated in advance.
4. Applicable Law and Disputes
4.1 Applicable Law
Swedish law shall apply to the agreement.
4.2 Dispute Resolution for Companies
Disputes between us and customers who are companies shall primarily be resolved through negotiation. If the parties cannot agree, the dispute shall be decided by a general court with Stockholm Court as the first instance, unless otherwise agreed.
